On average, venture capitalists receive a board seat 43.9% of the time. non-lead investors serve on the board only 35% of the time. Independent board members are directors who do not have a material relationship with the company – financial or otherwise. We find that venture capital-backed boards of directors are small and are mostly composed of venture capitalists and independent outsiders. Most non-executive-directors appointed by early-stage startups are not investors in the startup, and only a small fraction are venture capital (VC) directors.
